What is Crowdcube?
Crowdcube is an online investment platform that allows you to invest in startups and growing companies (like Rand) in exchange for equity (shares). Through Crowdcube, you can invest from accessible amounts and potentially benefit if the company increases in value in the future.
Who can invest in Rand?
Our users and the Crowdcube community can invest. Our users will have exclusive early access during the first phase of the round.
What do I gain by investing in Rand?
You become a shareholder of the company. If Rand continues to grow and increase its valuation in the future, your investment could generate a return. As with all startup investments, it carries risk and returns are not guaranteed.
What is exclusive early access and how does it work?
From March 4th to March 8th at 23:59 CET, Rand users can request exclusive early access to the round. This allows them to be the first to receive the investment link when this phase opens on March 9th. Requesting access does not involve any payment or obligation to invest.
Do I need a Crowdcube account?
Yes. To invest, you need to have a Crowdcube account. It is important to complete the identity verification process (KYC) before March 9th, because if your account is not verified, you will not be able to invest during exclusive early access or the private sale.
Do I have to deposit money when requesting exclusive early access?
No. No payment is made at this stage. You will only indicate a tentative amount you would like to invest. This helps us estimate demand but does not create any obligation to invest.
Can I change the amount I want to invest later?
Yes. You can decide the final amount you want to invest up until the moment you make the payment on March 9th and 10th. The previously indicated amount is not binding.
What is the minimum and maximum amount I can invest?
The minimum investment is €10. The maximum amount will depend on the availability of the round.
Until what time can I request exclusive early access?
Until March 8th at 23:59 CET.
What happens if I don’t request exclusive early access before March 9th?
You will get access later when the public phase opens, provided there are shares still available. Also, if you wait until the last moment to create and verify your Crowdcube account, it may not be validated in time to invest during the early access phase.
How will I know I can invest?
You will receive a confirmation email from Crowdcube when your access opens. You will also be able to see it directly in your user dashboard on the Crowdcube platform.
Can I cancel my request before investing?
Yes. You can decide not to invest at any time before completing the payment.
Is there any fee to request exclusive early access?
No. There is no fee to request access. Rand does not charge any commission on the investment, but Crowdcube may apply its own fees according to its terms, which you can check directly on their platform.
When does the private sale access start and end?
Access starts on March 9th and ends on March 10th at 23:59 CET, exclusively for Rand users who requested access and have their Crowdcube account verified.
How are shares allocated?
On a first-come, first-served basis. Shares are assigned according to when the purchase is completed.
What happens if the allocation is full before I invest?
If the allocation for this exclusive early access phase is filled on March 9th and 10th, it will not be possible to invest until the public phase, starting March 11th, provided there are shares still available.
What documentation do I need to invest?
You will need to complete a verification process similar to Rand’s, and we recommend doing it before the sale starts so your Crowdcube account is ready. You will need basic documentation and a copy of your ID or passport. Crowdcube’s platform is intuitive and guides you step by step. If you have any issues, you can contact their team at support@crowdcube.com.
What payment methods are accepted?
You can invest via debit or credit card. If your bank has per-transaction limits, make sure to increase them beforehand. If necessary, you can make multiple consecutive investments using the “invest again” option on the platform. For investments over €10,000, you must contact Crowdcube support for bank transfer instructions. Even for smaller transfers, contact them at support@crowdcube.com.
When does the public phase open?
March 11th, provided there are still shares available.
When does the round close?
March 27th (If the allocation hasn’t been filled yet). After this date, it will no longer be possible to invest.
Where will I see my investment?
Your investment will appear in your Crowdcube account, within your profile, in the portfolio section and transaction history.
What happens after investing?
Once the round closes to new investments, you will receive the Key Information Summary and details of the reflection period, which lasts approximately 4 days. During this period, you can review your investment before it is finalized.
Once the reflection period ends, payment will be processed if it has not already been completed.
After the public round ends, you will be able to download all legal documents and your investment certificate from your Crowdcube profile. You can also track the company’s progress through the platform and participate in votes on key decisions when applicable.
